Sistema Congressi S.r.l. operates through the agency of all those who, in any way, represent the company, be they company staff or non-permanent collaborators, and does so in full compliance with the current laws of the land and with European Union and Council of Europe regulations governing the legitimate representation of third party interests.
Sistema Congressi S.r.l. neither pursues nor realises any objective which may, directly or indirectly, be in violation of the laws of the land or of European Union regulations.
All regulations coming within the Code of Conduct are applicable without exception to all members of staff and non-permanent collaborators of Sistema Congressi S.r.l.
It is primarily the responsibility of employees to put into practice the values and principles enshrined in the Company Code of Conduct, assuming personal responsibility for ensuring this, both within the company and in all dealings outside the company, thereby strengthening trust, cohesion among company members, and team spirit.
All employees and non-permanent collaborators of Sistema Congressi S.r.l. shall, within the above-mentioned framework of compliance with laws and regulations in force, operate in accordance with the principles and objectives set down by the Company Code of Conduct.
Compliance with the regulations laid down in the Company Code of Conduct shall be considered an integral part of the contractual obligations entered into by all employees pursuant to Art. 2104 of the Italian Civil Code.
Infringement of the Company Code of Conduct regulations may be considered as a failure to meet the primary obligations deriving from an employment agreement, or as a disciplinary breach, with the legal consequences envisaged, including possible termination of said employment agreement and compensation for damages incurred. |

The actions and operations carried out and negotiations entered into by company employees and non-permanent collaborators on behalf of the Company shall be performed with the aim of providing maximum efficiency, completeness and transparency of information, of guaranteeing formal and substantive legitimacy, and ensuring accounting correctness and clarity. |

Every employee/non-permanent collaborator shall make his/her professional contribution to the company in accordance with the responsibilities assigned, and shall act in a manner such as to safeguard the good name and image of the Company, in particular performing his/her tasks and meeting the responsibilities assigned to the highest professional standard and in compliance with the procedures and instructions received. |

Relations between employees and non-permanent collaborators shall be based on standards of civil behaviour, with a view to ensuring honest, collaborative and loyal exchanges grounded in mutual respect. Relations with superiors shall be based on the subordination principle as laid down by the employment agreement. |

In compliance with Arts. 2104 and 2105 of the Italian Civil Code, diligence and loyalty on the part of all personnel are the key tenets on which any working relationship with the Company shall be based. |

|
|
| |
 |
Relationships of trust are an integral part of all employment agreements, especially in the case of personnel charged with assignments of considerable delicacy. |
| |
|
|
| |
 |
Personnel shall dedicate the necessary amount of time and energy to carrying out their assignments, bearing in mind the principles of efficacy and efficiency, and having as their objective the continual improvement of their own professional abilities and the performance level of the work carried out. |

|
|
| |
 |
Personnel shall ensure the continuity and regularity of their performance and communicate with reasonable advance any interruptions in the provision of their services, in compliance with the regulations in force. |

|
| |
 |
Each employee or non-permanent collaborator is expected to make his/her contribution to ensure that all operational and business matters may be fully represented and accounted for in the periodical Company accounts and Profit and Loss Reports.
Every operation shall be tracked by appropriate support documentation allowing assessment, verification and reconstruction of all accounting elements. This documentation shall be kept on file.
Every operation must fully reflect the description and accounts detailed in the support documentation. |

IMPARTIALITY |

In carrying out his/her assigned tasks, each member of staff shall ensure equal treatment of all those in any way associated with the Company and its operations. To this end, staff shall not refuse or grant goods or services that are normally provided or refused others; by the same token, all forms of illegal pressure shall be rejected. Staff members shall take initiatives and decisions following procedures that are fully transparent and shall refrain from creating or exploiting illegitimate situations of privilege. Staff shall also refrain from having any other direct or indirect business dealings of any kind with any individuals with whom they come into contact through assignments carried out for the Company. |

CONFIDENTIALITY |

All staff members are held to the strictest confidentiality and shall be under the obligation not to divulge information acquired during the exercise of their functions, even after termination of the employment agreement. |

|
|
| |
 |
Without prejudice to the prohibition mentioned above, staff members shall: |
| |

|
| |
|
| |
 |
gather and process only that information necessary and appropriate for their specific Department/Office and in direct connection with their specific functions; |
| |
|
|
| |
 |
gather and process information only within the framework of specified procedures; |
| |
|
|
| |
 |
store data in such a way as to prevent access to all unauthorised persons; |
| |
|
|
| |
 |
refrain from releasing any information regarding their working activities to the news media unless specifically authorised to do so. |
|
|
| |
|
|
| |
 |
Sistema Congressi S.r.l. shall ensure the protection of all information regarding its own employees, non-permanent collaborators and third parties that is acquired or generated within or outside the Company, and shall take all necessary measures to prevent improper use of such information. |
